These Terms of Use (“Terms”) govern your access to and use of outdoorresearchsale.us and purchases of outdoor apparel and gear from Outdoor Research Sale. By using the site or placing an order, you agree to these Terms.
1. Eligibility
You must be at least 18 years old (or the age of majority in your state) and able to form a binding contract to purchase from us. You agree to provide accurate checkout information.
2. Products & Descriptions
We sell outdoor clothing and accessories such as rain jackets, insulated jackets, soft shells, fleece, hiking pants, base layers, gloves, hats, gaiters, and related gear. We attempt to display colors and details accurately, but monitors vary, and fabric finishes (DWR, insulation loft) may differ slightly from photos. Prices and availability may change without notice before you complete checkout.
3. Orders & Payment
Order acceptance is subject to verification of payment, inventory, and fraud checks. We may cancel or refuse any order. You authorize our payment provider to charge your selected method for the total shown at checkout, including taxes.
4. Shipping; Risk of Loss
Shipping is described in our Shipping Policy. Except where prohibited, risk of loss passes upon delivery to the carrier.
5. Returns
Returns and exchanges are governed by our Returns & Exchanges Policy.
6. Outdoor Activity Disclaimer
Outdoor recreation involves inherent risks. Our products are tools to help manage weather and terrain but do not eliminate risk of injury. You are responsible for selecting appropriate gear, layering correctly, checking weather forecasts, and using sound judgment outdoors. Product ratings (waterproofing, breathability, temperature comfort) are guidance, not guarantees for every environment.
7. Care & Product Performance
Follow care labels. Improper washing, dryer heat, ironing waterproof membranes, or contamination by sunscreen/insect repellent may reduce performance and may void eligibility for returns or goodwill repairs.
8. Intellectual Property
Site content, logos, product photography, and text are owned by us or our licensors. You may not copy or commercially exploit site content without permission.
9. Acceptable Use
You agree not to misuse the site, attempt unauthorized access, scrape in a manner that impairs service, post malware, or use the site for unlawful purposes.
10. Disclaimer of Warranties
EXCEPT WHERE PROHIBITED BY LAW, THE SITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO PORTIONS MAY NOT APPLY TO YOU.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE OR AN ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) AT ISSUE IN THE TWELVE MONTHS BEFORE THE CLAIM. SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE STATES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
12. Indemnity
You agree to indemnify and hold us harmless from claims arising out of your misuse of products, violation of these Terms, or violation of law, except to the extent caused by our willful misconduct.
13. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules, except that arbitration issues may be governed by the Federal Arbitration Act.
Informal resolution first: email [email protected] and allow 30 days to resolve.
Binding arbitration / class waiver: Except for small-claims matters or claims for injunctive relief to protect intellectual property, disputes arising out of these Terms or your purchases shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS. You may opt out of arbitration within 30 days of your first purchase by emailing “Arbitration Opt-Out” to [email protected] with your name and order email. If a court finds the class waiver unenforceable as to a particular claim, that claim must proceed in court, not arbitration.
14. Consumer Law Non-Waiver
If any provision conflicts with a non-waivable consumer protection statute in your state, that statute controls to the limited extent of the conflict.
15. Changes
We may update these Terms by posting a revised version. Continued use after the effective date constitutes acceptance of changes for future use and orders.
